Geographic Scope: GreatMovs operates internationally and complies with U.S. laws (particularly New York State), Ghana laws, and international best practices.


2. Intellectual Property Rights

All content on the website, including text, graphics, logos, trademarks, images, software, and other materials, is the exclusive property of GreatMovs or its licensors and is protected by:

  • United States copyright and trademark laws

  • Ghana's Copyright Act, 2005 (Act 690) and Trademarks Act, 2004 (Act 664)

  • International intellectual property treaties (Berne Convention, WIPO Copyright Treaty, TRIPS Agreement)

Your Limited License: You are granted a limited, non-exclusive, non-transferable license to view website content for personal, non-commercial use only. You may not reproduce, distribute, modify, or create derivative works without our express written permission.


3. Acceptable Use and Restrictions

You agree NOT to:

  • Use the website for any unlawful purpose or in violation of local, state, national, or international laws

  • Violate anti-money laundering laws (Ghana's Anti-Money Laundering Act, 2020; U.S. PATRIOT Act)

  • Violate anti-corruption laws (Ghana's Office of the Special Prosecutor Act, 2017; U.S. Foreign Corrupt Practices Act)

  • Republish, sell, or commercialize website content without permission

  • Use automated systems (bots, scrapers) to access the website without authorization

  • Transmit viruses, malware, or harmful code in violation of Ghana's Cybersecurity Act, 2020 (Act 1038)

  • Misrepresent your identity or affiliation

  • Interfere with website functionality or security

  • Violate intellectual property rights of GreatMovs or third parties


4. User Content and Privacy

Content You Submit: By submitting content to our website, you grant GreatMovs a non-exclusive, worldwide, royalty-free license to use, reproduce, and distribute such content as necessary to provide our services. You represent that your content does not infringe on third-party rights and complies with all applicable laws.

Data Protection: We protect your personal data in accordance with:

  • Ghana's Data Protection Act, 2012 (Act 843)

  • EU General Data Protection Regulation (GDPR) for EU users

  • California Consumer Privacy Act (CCPA) and other U.S. privacy laws

  • International data protection standards

Cross-Border Data: Your data may be transferred to and processed in the United States, Ghana, or other countries where we operate. We implement appropriate safeguards including encryption and standard contractual clauses.

5. Payment Terms (For Services)

Fees and Currency: Service fees are outlined in separate service agreements. Payments may be in U.S. Dollars (USD), Ghanaian Cedis (GHS), or other agreed currencies via bank transfer, credit/debit cards, or mobile money (Ghana).

Taxes: You are responsible for all applicable taxes including:

  • Ghana Value Added Tax (VAT) - currently 15% per VAT Act, 2013 (Act 870)

  • U.S. state and federal taxes

  • Withholding taxes as required by law

Late Payments: Late payments incur interest at 1.5% per month or the maximum legal rate, whichever is lower.

Anti-Money Laundering: We reserve the right to verify payment sources and refuse suspicious transactions in compliance with Ghana's Anti-Money Laundering Act, 2020 and U.S. AML regulations.


6. Disclaimers and Limitation of Liability

"As Is" Basis: The website and services are provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or uninterrupted service.

Professional Services: While we strive for accuracy, we do not guarantee specific results. Tax, financial, and accounting matters are subject to interpretation and regulatory changes.

Limitation of Liability: To the maximum extent permitted by law, GreatMovs shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages

  • Loss of profits, revenue, data, or business opportunities

  • Damages exceeding the fees paid for services in the 12 months preceding the claim

Jurisdictional Exceptions: Some jurisdictions (including Ghana and certain U.S. states) do not allow exclusions for fraud, gross negligence, death, personal injury, or consumer protection violations. In such cases, liability is limited to the greatest extent permitted by law.


7. Confidentiality and Professional Standards

Confidentiality: We maintain strict confidentiality of client information except when disclosure is required by:

  • Law, regulation, or court order

  • Tax authorities (U.S. IRS, Ghana Revenue Authority)

  • Professional regulatory bodies

  • Your express consent

Regulatory Compliance: We adhere to standards established by:

  • American Institute of Certified Public Accountants (AICPA)

  • Institute of Chartered Accountants Ghana (ICAG)

  • International Federation of Accountants (IFAC)

Sanctions and Export Controls: We comply with U.S. OFAC sanctions, UN sanctions, and export control regulations. We reserve the right to refuse service to sanctioned individuals or entities.


8. Dispute Resolution and Governing Law

Governing Law:

  • U.S.-based users: Laws of the State of New York, United States

  • Ghana-based users: Laws of the Republic of Ghana

  • International users: As specified in service agreements or applicable international law

Dispute Resolution Process:

  1. Informal Resolution: Contact us to attempt resolution within 30 days

  2. Arbitration (International Disputes): Binding arbitration under ICC, Ghana Arbitration Centre (GAC), or AAA rules

  3. Court Jurisdiction:

    • U.S. users: Courts of Bronx County, New York

    • Ghana users: Courts of Ghana (venue in Accra)

Limitation Period: Claims must be filed within 2 years from when the cause of action arose, or as required by applicable law.

Class Action Waiver: To the extent permitted by law, disputes must be brought individually, not as class actions.


9. International Compliance

Anti-Bribery: Both parties comply with anti-corruption laws including the U.S. FCPA, UK Bribery Act 2010, and Ghana's Office of the Special Prosecutor Act, 2017.

Human Rights: We respect internationally recognized human rights and prohibit forced labor, child labor, and human trafficking in accordance with UN Guiding Principles.

Accessibility: We strive to comply with ADA, WCAG 2.1 Level AA, and Ghana's Persons with Disability Act, 2006 (Act 715).

Electronic Communications: In accordance with the U.S. E-SIGN Act and Ghana's Electronic Transactions Act, 2008 (Act 772), electronic communications and signatures have the same legal effect as written documents.


10. Termination

We may suspend or terminate your access if you:

  • Violate these Terms

  • Engage in fraudulent or unlawful activity

  • Fail to make required payments

  • Are added to sanctions lists

Effect of Termination: Upon termination, your right to use the website ceases, but payment obligations, confidentiality, intellectual property rights, and dispute resolution provisions survive.

Record Retention: We retain records as required by professional standards (7 years under U.S. standards, 6 years under Ghana tax laws).


11. General Provisions

Changes to Terms: We may modify these Terms with 30 days' notice. Continued use after changes constitutes acceptance. The English version controls in case of translation discrepancies.

Severability: If any provision is invalid in any jurisdiction, it will be modified or severed only in that jurisdiction, with remaining terms staying in effect.

Force Majeure: Neither party is liable for delays due to events beyond reasonable control (natural disasters, war, government actions, pandemics, infrastructure failures).

No Third-Party Rights: These Terms do not confer rights on third parties.
